Lawyers in Schinders have over the years assisted a significant number of foreign companies with their investment projects in China, when they worked in different law firms. We assist clients in establishing and expanding their presence in China through establishing foreign invested enterprises ("FIEs").  This can take a wide variety of legal forms depending on the client's need, such as an equity joint venture, contractual joint venture, wholly foreign owned enterprise or as a foreign invested joint stock company.  We also have the capability to assist Chinese state-owned or private enterprises in attracting foreign investors and in cooperating with their foreign partners through various forms.

We handle the registration procedures, assist in drafting and negotiating the corporation, employment and lease contracts, act as the contact point for the client, and do anything else necessary to ensure a smooth transition into China for our clients.

In some cases it is the best choice to terminate, liquidate and dissolve an FIE.  We not only advise clients in dispute resolution procedures to seek legal remedy, but also play a role to ensure that the liquidation and dissolution process is conducted in a smooth and professional manner where clients' interests are properly safeguarded.

After the initial wave of foreign investment, many companies are increasing equity stakes and buying out their venture partners, while some wish to consolidate their China operations and subsidiaries. We assist many clients to restructure and consolidate their existing FIEs to meet the operational requirements.  We assist in share transfer, capital increase, change of business scope, restructuring of the board and management, extension of the operation term etc.
